Terms of Service
Effective October 9, 2026.
1. Who we are and acceptance
Heyoli is operated by Brand Boosting Media SRL, CUI 24548001, registered with the Bucharest Trade Registry under J40/16828/2008, with registered office at Str. Râul Doamnei Nr. 1, Bl. M1, Sc. A, Et. 1, Ap. 7, Sector 6, Bucharest, Romania ("we", "us").
By creating an account or using the Service you accept these Terms. If you do not agree, you must not use the Service. If you accept on behalf of a business, you confirm you have authority to bind it, and "you" means that business. You must be at least 16 years old to use the Service.
2. The Service and your license
Heyoli is an AI design copilot: chat-based creation, an editable design canvas, scheduling, automations, and social publishing integrations (the "Service"). A paid subscription is required; there is no free tier.
We grant you a worldwide, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own internal business purposes until your subscription ends or we terminate it. You may not: reverse-engineer or derive the Service's internals; copy, rent, lease, resell, sublicense, or transfer access; probe it for vulnerabilities; attack it; or let anyone use it through your connection in breach of these Terms.
You must keep your account credentials safe and treat any code we email you as confidential. If you suspect someone else accessed your account, tell us immediately at [email protected]. We may disable access tokens at any time to protect the Service.
3. Subscription and billing
Heyoli costs $99 USD per month, payable in advance at the start of each billing month. All prices are exclusive of taxes; the correct tax for your location is calculated at checkout.
Payments are processed by Paddle.com, our merchant of record. Your invoices and card statements show Paddle's name, and your payment relationship for billing purposes is with Paddle. We never see or store your card details.
Your subscription renews automatically each month until you cancel. Cancel anytime from Settings → Plan → Manage subscription; you keep full access until the end of the current billing period and no further payments are taken. If you dispute a charge in good faith, write to [email protected] within 30 days and we will work with you to resolve it.
4. Refunds
Subscription fees are non-refundable, except where consumer law in your country says otherwise. If something went wrong with your subscription or a charge, write to [email protected] within 14 days and we will make it right.
5. Acceptable use
Security and infrastructure: no attacking or overloading the Service (including denial-of-service), no unauthorized access to the Service or anyone else's systems or data, no exfiltrating credentials or secrets, no abusing compute (such as crypto mining), and no jailbreaking or prompt-injecting AI safety filters reachable through the Service.
Harmful use: no spam or unlawful unsolicited communications; no disinformation, fake engagement, or deceptive AI content passed off as human-made; no collecting or processing personal data without a lawful basis; no phishing, pretexting, or exploiting vulnerabilities of age, disability, or circumstance; no harassment or discrimination; no sexually explicit content; nothing involving minors in an exploitative or abusive way — we report such material to the competent authorities.
Sensitive data: do not submit health, financial, biometric, or other special-category personal data to the Service. We are not set up to process them, and you are responsible for what you input.
High-risk AI use: do not use the Service where an AI error could cause death, bodily injury, or major legal consequences (medical, legal-advice-as-decision, employment, credit, housing, law-enforcement, or critical-infrastructure decisions), and do not use it to train or develop foundation or general-purpose AI models.
Enforcement is case by case: we may ask you to remediate, suspend access with or without notice, or terminate repeat or serious breaches — and we disclose information to law enforcement where the law requires it. If you see someone breaching this section, report it to [email protected].
6. Your content and intellectual property
You own what you create with Heyoli — your designs, text, uploads, prompts, schedules, and automations ("Your Content"). You grant us a non-exclusive, royalty-free, worldwide license (including the right to sublicense to the subprocessors that run the Service) to store, process, and display Your Content solely to provide and support the Service.
You represent that you have the rights to input material you upload and that Your Content is accurate, lawful, and yours to use. You are responsible for checking AI outputs before you publish them — AI can be wrong, and anything consequential deserves a human look.
The Service itself — software, configuration, design, trademarks — stays ours, and suggestions you send us may be used freely in the product without compensation or obligation.
7. Confidentiality
Each party keeps the other's non-public information confidential — for you, Your Content and account data; for us, the Service's internals, security details, and non-public business terms — and uses it only to perform under these Terms, protecting it with at least reasonable care.
Confidentiality does not cover information that was already known without a duty of confidence, becomes public through no fault of the receiving party, is received legitimately from someone else, or is independently developed. Either party may disclose what the law requires after giving reasonable advance notice where allowed, and to employees, advisors, and contractors who need to know and are bound by equivalent duties.
8. AI-specific terms
AI features run on probabilistic models: outputs may contain errors or inconsistencies, and you are solely responsible for validating accuracy and fitness before relying on or publishing them.
Do not use AI features for decisions in regulated contexts without qualified human oversight, do not use outputs to infringe anyone's intellectual-property rights, and do not present AI-generated output as human-made.
Outputs may resemble or duplicate what others receive from the same features. We do not warrant that outputs are unique, do not reflect other users' data, or do not infringe third-party rights — and AI-generated output may not be protectable as intellectual property in your jurisdiction.
To the extent the law allows, you own the outputs generated through your use of the AI features. We do not use Your Content or outputs to train machine-learning models, we do not retain them beyond what delivering the features requires, and we share them with AI providers only as needed to generate your results at your direction.
Where the product lets you bring your own AI provider credentials, you are responsible for that provider's terms and data handling.
9. Third-party services
The Service connects to third parties you authorize: AI providers that process your prompts, Paddle for billing, and the social platforms you publish through. Their terms govern your relationship with them; review them before connecting.
Credentials and connected accounts are yours to guard: maintain reasonable access controls, use the Service's permission features where offered, and revoke connections you no longer trust. We are not responsible for what third parties do with data once you send it their way.
10. Suspension, termination, and deletion
We may suspend or terminate access where you breach these Terms, where the law requires it, to prevent harm or security risks, or where your use degrades the Service for others. For remediable material breaches we give 30 days' notice to cure before terminating; serious abuse (Section 5) can end access immediately and permanently.
When access ends for any reason, your right to use the Service ends with it. Your Content is deleted as described in the Privacy Policy; invoices and records the law requires us to keep are retained for their statutory periods.
Terms that by nature survive termination — intellectual property, confidentiality, indemnity, liability, notices, and governing law — survive it.
11. Warranties and disclaimer
We warrant that we will not materially reduce the general functionality of the Service during your subscription. If we breach this, tell us with enough detail to reproduce the issue and we will try to restore the functionality; if we cannot, you may cancel and we will refund the prepaid remainder of your billing period. Restoration or that refund is your only remedy for such a breach.
Apart from that warranty, the Service is provided "as is". To the maximum extent the law allows, we exclude all implied conditions, warranties, and representations — including fitness for your particular purpose — and we do not guarantee the Service will be uninterrupted, error-free, secure, or free of harmful components. You are responsible for your own devices, connection, and backups of anything irreplaceable.
12. Indemnity
You agree to indemnify Brand Boosting Media SRL and its directors, officers, and employees against all losses, costs, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or Your Content — including claims that it infringes someone else's rights or breaks the law.
We return the favour for our own product: we will indemnify you against third-party claims that the Service itself infringes their intellectual-property rights — except where the claim arises from Your Content, your misuse, unauthorized modification, combination with third-party items, or use of an outdated version. Procedure both ways: prompt notice, reasonable assistance at the indemnifier's expense, and the indemnifier's sole control of defence and settlement; we may also resolve a product claim by obtaining rights, modifying or replacing the affected part, or terminating with a pro-rata refund.
13. Limitation of liability
We do not limit liability where the law forbids it — including death or personal injury caused by our negligence, fraud, and your mandatory consumer rights.
Subject to that, we are not liable for: loss of profits, sales, business, or revenue; business interruption; loss of anticipated savings, opportunity, goodwill, or reputation; or any indirect or consequential loss — whether in contract, tort, or otherwise, even if foreseeable.
Our total liability for any claim relating to the Service is capped at the fees you paid us in the 12 months before the claim arose.
14. Notices and complaints
We notify you inside the product; anything materially affecting your rights or your use of the Service we also email to your account address. Support and general questions go to [email protected].
Complaints, insolvency notices, and legal proceedings against us go to [email protected] with "Legal" in the subject, or by post to: Brand Boosting Media SRL, Str. Râul Doamnei Nr. 1, Bl. M1, Sc. A, Et. 1, Ap. 7, Sector 6, Bucharest, Romania.
15. Governing law and general
These Terms are governed by the laws of Romania, and the competent courts of Bucharest, Romania have exclusive jurisdiction — except that EU consumers also keep the mandatory protections of the law where they live, and nothing here takes those away. A breach of confidentiality or intellectual-property rights may cause irreparable harm, so the harmed party may seek injunctive relief in any competent court without limiting its other remedies.
You may not use the Service in violation of EU or US export controls and sanctions; you confirm you are not located in, or acting for, an embargoed country or sanctioned party. We may terminate immediately to comply with applicable sanctions laws.
Neither party is liable for delay or failure caused by events beyond its reasonable control. If any provision is found unlawful or unenforceable, the rest stands; failure to enforce a provision is not a waiver of it. We are independent contractors and there are no third-party beneficiaries.
You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, reorganisation, acquisition, or sale of all or substantially all of our assets, on notice to you. These Terms plus the Privacy Policy are the entire agreement between us about the Service.
We may update these Terms as the product evolves; the current version here always applies, dated below. Material changes take effect from your next billing period after we announce them in the product — continued use after that is acceptance, and price changes never apply retroactively to a period already paid.
